This website is operated by Buzz Products Inc (Buzz). Throughout the site, the terms “we”, “us” and “our” refer to Buzz.

Please read these terms and conditions (including any additional terms and policies referenced within and/or available by hyperlink) (collectively, Terms) carefully before accessing or using our website or ordering any products from this website. By accessing or using any part of this site, you agree to be bound by these Terms (and acknowledge and agree that these Terms apply to our supply of products through this website to the exclusion of all other terms and conditions). If you do not agree to all of the Terms, then you may not access the website or use any services or order any products through the website.

We reserve the right to update, change or replace any part of these Terms by posting updates and/or changes to our website. We will provide you with reasonable notice of any material changes to these Terms. Your continued use of or access to the website following the posting of such changes (if not material) or of such notice (if material) constitutes acceptance of those changes.

Our store is hosted on Shopify Inc. They provide us with the online e-commerce platform that allows us to sell our products and services to you.

SECTION 1 – PURCHASE TERMS

These Terms apply to the supply of products to you by Buzz to the extent that the parties have not executed a separate Supply Agreement. If a Supply Agreement has been executed, the terms of that Supply Agreement govern the supply of products by Buzz during the term of that Supply Agreement.

This online store is a business-to-business site only, and products may only be purchased by accommodation providers (being a hotel, motel, inn or guest house (including an “Air BnB”, or similar) (Accommodation Provider) solely for complimentary use by their customers while staying within the accommodation provided by that Accommodation Provider.

We reserve the right, but are not obligated, to limit the sales of our products to any person, geographic region or jurisdiction. We may exercise this right on a case-by-case basis. We reserve the right to limit the quantities of any products or services that we offer, or require minimum order quantities be met before selling any products.

All products shown on our website are subject to availability. This means that, although we strive to ensure that our website reflects stock available, a product shown on the website may no longer be available for purchase (or for purchase in the quantities you request).

All descriptions of products or product pricing are subject to change at any time without notice, at the sole discretion of us. We reserve the right to discontinue any product at any time.

Minor colour and other variations in products are possible as a result of different image acquisition, display technologies or other technical reasons. Buzz is not liable for these variations and deviations.

Orders you place via the website for the products offered through the website are only an offer to conclude a sales contract. The sales contract is only concluded upon the order confirmation by Buzz of the order per e-mail to you. Buzz reserves the right to accept or decline any order at its sole discretion, and may verify orders prior to acceptance.

Buzz may change or cancel any order after it is placed, for any reason. If we make a change to or cancel an order we will refund to you any money paid by you to us for the cancelled portion of the order, and we may attempt to notify you by contacting the e-mail and/or billing address/phone number provided at the time the order was made.

Unless expressly stated otherwise, the stated prices do not include sales tax and sales tax will be added to your order as applicable. Prices are quoted in US dollars.

Buzz charges shipping costs. The shipping costs vary for each product and are further detailed under the Shipping Policy which is incorporated into and forms part of these Terms. These costs will, if applicable, be charged separately and specified and added up with the total amount of the order.

The delivered products will remain the property of Buzz until you have paid all amounts owing under this specific order in full. This retention of title does not affect your statutory rights under applicable State or federal consumer protection law. You may not use, dispose of or encumber products before ownership to them has passed to you.

SECTION 2 - ADDITIONAL TERMS THAT APPLY TO ALL PRODUCTS THAT YOU PURCHASE THROUGH THIS WEBSITE:

Products may NOT be resold (including to Accommodation Provider guests).

When you place an order for products, you represent and warrant to us that:

(i)                          you are an Accommodation Provider;

(ii)                       you are purchasing the products solely for complimentary use by your guests while they are staying (or using the facilities) within your accommodation; and

(iii)                    you will not resell any products (including within your gift store or in-room (eg 'mini bar') sales) without our express prior written consent.

If you purchase a refillable product:

(iv)                     you agree to replace all bottles at least once every 6 months (to maintain the appearance and uphold the quality and brand standards of the refillable bottles);

(v)                        you agree that due to the legal requirements for the usage instructions and ingredients listing printed on product packaging to exactly match the fill of the products, you will ensure that bottles are only refilled with Buzz-supplied matching fill for that bottle, and are not refilled with any other liquid, filling, or product;

(vi)                     you acknowledge and agree that, if you refill a product (including a refillable product), you do so entirely at your own risk.  You are solely responsible for ensuring that: (A) the bottle is only refilled with bulk fill provided by Buzz; (B) the vessel and components (including bottle and pump) are completely clean prior to being refilled; (C) the product is not "topped up" (refill is not added to existing fill); and (D) no contaminants are introduced during the refilling process; and

(vii)                  YOU AGREE THAT BUZZ WILL NOT BE LIABLE FOR ANY LOSSES (INCLUDING FROM CONTAMINATION OR INJURY CLAIMS) TO THE EXTENT THAT THEY DIRECTLY OR INDIRECTLY ARISE FROM THE REFILLING OF ANY BOTTLE, INCLUDING FROM ANY CONTAMINATE BEING INTRODUCED INTO ANY FILL, VESSEL AND/OR COMPONENTRY DURING A REFILL PROCESS, OR OTHERWISE DUE TO A VESSEL OR COMPONENTRY NOT BEING COMPLETELY CLEAN PRIOR TO REFILL. 

If you purchase a bracket:

(viii)               you acknowledge and agree that you are solely responsible for installing any brackets that hold any bottles; and

(ix)                     YOU AGREE THAT BUZZ WILL NOT BE LIABLE FOR ANY LOSSES (INCLUDING FOR INJURY CLAIMS) TO THE EXTENT THAT THEY DIRECTLY OR INDIRECTLY ARISE FROM THE INSTALLATION OF THE BRACKETS BY YOU OR ON YOUR BEHALF (INCLUDING ANY FAILURE OF THE INSTALLER TO PROPERLY SECURE THE BRACKETS TO A SURFACE).

To the maximum extent permitted by law, products may only be returned or exchanged in accordance with our Return Policy, which is incorporated into and forms part of these Terms.

Products may not be suitable for sale or use in all jurisdictions (due to different labelling, testing requirements and ingredient restrictions in different jurisdictions). It is your responsibility to read the product description and make your own enquiries PRIOR TO PURCHASE to ensure that such products will be suitable for your needs and are able to be delivered to your address. We will not be liable for any failure of such products to clear customs or for any failure of such products to comply with all applicable laws and labelling requirements in your jurisdiction.

SECTION 3 – WEBSITE GENERAL CONDITIONS

Occasionally there may be information on our website that contains typographical errors, inaccuracies or omissions that may relate to product descriptions, pricing, promotions, offers, product shipping charges, transit times and availability. We reserve the right to, at any time and without notice, correct any errors, inaccuracies or omissions, and to change or update information or cancel orders if any information on the website is inaccurate.

You understand that your content (not including credit card information), may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. Credit card information is always encrypted during transfer over networks.

All of the content featured or displayed on the website, including, but not limited to, logos, icons, trade marks, text, graphics, photographs, images, moving images, sound, illustrations and software, (together, Content) is owned by Buzz or its licensors. Except as explicitly permitted by applicable copyright laws, no portion or element of the website or its Content may be copied or reproduced in any form or retransmitted via any means.

The website and the Content are provided 'as is' and, except to the extent required by law, without any warranties of any kind. The information on the website is for general information purposes only and does not constitute advice and is not to be relied on.

Except to the extent required by law, Buzz does not represent or warrant that the information and/or facilities contained in the website are accurate, complete or current, or that the website or the server that makes the website available are free of viruses or any other harmful components, or that the website will be uninterrupted or error free.

Certain content, products and services available through our website may include materials from third-parties.

Third-party links on this website may direct you to third-party websites that are not affiliated with us. We are not responsible for examining or evaluating the content or accuracy and we do not warrant and will not have any liability or responsibility for any third-party materials or websites, or for any other materials, products, or services of third-parties.

We are not liable for any harm or damages related to the purchase or use of goods, services, resources, content, or any other transactions made in connection with any third-party websites. Please review carefully the third-party's policies and practices and make sure you understand them before you engage in any transaction. TO THE MAXIMUM EXTENT PERMITTED BY LAW, BUZZ EXCLUDES ALL CONDITIONS, WARRANTIES AND GUARANTEES (WHETHER EXPRESS OR IMPLIED BY OR ARISING UNDER STATUTE, COMMON LAW, EQUITY, TRADE CUSTOM OR USAGE OR OTHERWISE), AND MAKES NO REPRESENTATIONS, RELATING TO OUR WEBSITE OR THE PRODUCTS ORDERED BY YOU, INCLUDING WARRANTIES OR GUARANTEES OF AVAILABILITY, ACCEPTABLE QUALITY, MERCHANTABILITY AND FITNESS FOR PURPOSE. NOTHING IN THESE TERMS EXCLUDES, LIMITS OR MODIFIES ANY CONDITIONS, WARRANTIES OR GUARANTEES IMPLIED BY OR ARISING UNDER STATUTE WHICH CANNOT LAWFULLY BE EXCLUDED, SUCH AS THOSE UNDER APPLICABLE STATE OR FEDERAL CONSUMER PROTECTION LAW.

OTHERWISE, TO THE MAXIMUM EXTENT PERMITTED BY LAW, BUZZ, ITS AFFILIATED COMPANIES, LICENSORS, AND THEIR OFFICERS, EMPLOYEES, AGENTS AND REPRESENTATIVES WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE (INCLUDING CONSEQUENTIAL LOSS OR DAMAGE) TO ANY PERSON OR ENTITY, HOWEVER CAUSED (WHETHER BY NEGLIGENCE OR OTHERWISE), WHICH MAY ARISE DIRECTLY OR INDIRECTLY FROM OR IN CONNECTION WITH THESE TERMS, THE WEBSITE OR ANY ORDERS YOU PLACE VIA THE WEBSITE.

THE LIMITATIONS AND EXCLUSIONS SET OUT IN THIS SECTION DO NOT APPLY TO ANY LIABILITY OF BUZZ FOR WILFUL MISCONDUCT, FRAUD OR GROSS NEGLIGENCE (BEING NEGLIGENCE INVOLVING A DELIBERATE OR RECKLESS DISREGARD OR A RISK WHICH WOULD BE APPARENT TO A REASONABLE PERSON IN THE SAME CIRCUMSTANCES).

BUZZ IS NOT LIABLE FOR FAILURE TO PERFORM, OR DELAY IN PERFORMING, AN OBLIGATION (AFFECTED OBLIGATION) IF THE FAILURE OR DELAY AROSE FROM ANY ACT, EVENT OR CAUSE BEYOND BUZZ’S REASONABLE CONTROL (INCLUDING, WITHOUT LIMITATION, THE ACTS OR OMISSIONS OF THIRD PARTIES NOT DIRECTLY UNDER BUZZ CONTROL, AN ACT OF GOD, PERIL OF THE SEA, ACCIDENT OF NAVIGATION, WAR, SABOTAGE, RIOT, ACT OF TERRORISM, INSURRECTION, CIVIL COMMOTION, NATIONAL EMERGENCY (WHETHER IN FACT OR LAW), MARTIAL LAW, FIRE, LIGHTNING, FLOOD, CYCLONE, EARTHQUAKE, LANDSLIDE, STORM OR OTHER ADVERSE WEATHER CONDITIONS, EXPLOSION, POWER SHORTAGE, STRIKE OR OTHER LABOUR DIFFICULTY, EPIDEMIC, QUARANTINE, RADIATION OR RADIOACTIVE CONTAMINATION, PORT CONGESTION OR SHIPPING DELAYS, OR AN ACTION OR INACTION OF A GOVERNMENT AGENCY, INCLUDING EXPROPRIATION, RESTRAINT, PROHIBITION, INTERVENTION, REQUISITION, REQUIREMENT, DIRECTION OR EMBARGO BY LEGISLATION, REGULATION, DECREE OR OTHER LEGALLY ENFORCEABLE ORDER) (FORCE MAJEURE EVENT) AND THE AFFECTED OBLIGATION IS SUSPENDED FOR THE DURATION OF THE FORCE MAJEURE EVENT.

OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE STATE AND FEDERAL LAW.

SECTION 8 - SEVERABILITY

If any provision of these Terms is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms, such determination shall not affect the validity and enforceability of any other remaining provisions.

SECTION 9 – WAIVER

The failure of us to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

SECTION 10 - GOVERNING LAW

These Terms and our supply of products to you shall be governed by and construed in accordance with the laws of the State of Delaware, USA.
